This full day seminar will be an overview of mergers and acquisitions.  The seminar will focus on just the basics with respect to the following topics: 

Acquisition Structures, tax benefits and purchase agreement considerations;
Due diligence “gotchas” – common federal, state and local tax issues
Cross border considerations during due diligence
Tax accounting issues
Integration issues

The San Francisco Chapter of TEI has been approved by the State Bar of California to provide continuing legal education (CLE) credits.  This specific program is scheduled to provide 7 hours of CLE credits in taxation based on 60 minute hours.  In addition, the chapter follows the continuing professional education (CPE) guidelines specified in the California Chapter of Accountancy Regulations. Based on 50 minute hours, this specific program is scheduled to provide 8 hours of CPE credits in taxation.
